Report of the Companies Law Committee - February 2016


The Companies Law Committee, set up on 4th May, 2015, presented its Report on Proposed Amendments in Companies Act, 2013 considering the valuable comments/suggestions made by Industry Chambers, Professional Institutes, law firms, academicians and other experts.

While suggesting changes, the Committee tried to take a holistic and comprehensive view keeping in mind the difficulties and challenges expressed by various stakeholders. 

Some of the key changes proposed are listed below:

1. Directors Remuneration Decontrolled 

2. Only Equity capital to decide if a company is a subsidiary

3. Insider Trading under SEBI ambit for Listed comapnies. 

4. Full Flexibility to restructure subsidiaries 

5. Board meets can happen over video conferencing

6. No change in rotation of auditors

7. NRC to recommend on directors salaries only

8. Easier Private Placement rules

9. Related Party Transaction rules to be aligned with SEBI

10. Frauds less than Rs. 10 Lakh to be compoundable offences. 

11. Companies may give loans to entities in which directors are interested after passing SR
