1. Dokmart is an internet based platform that facilitates viewing, downloading, uploading of information, documents, formats, drafts used in corporate world or by individuals and availing professional services offered through this site in secretarial, legal, technical and other related fields. It also act a venue between professionals and potential users of above stated information and/or services with a motive to save the time and efforts of the users of this site.

Deemed Acceptance to Terms and Conditions

2. This website is owned and operated by Dokmart Corporate Solutions (hereinafter known as “Dokmart”). By visiting this website and accessing the information, documents, formats, drafts, services, products, and tools provided on this site (hereinafter termed as ‘resource’), you understand and agree to accept and adhere to terms and conditions as stated in this policy (hereinafter termed as 'User Agreement'), along with the terms and conditions as stated in our Privacy Policy (please refer to the Privacy Policy section for more information).
3. This User agreement constitutes the entire and whole agreement between user and Dokmart, and is intended as a complete and exclusive statement of the terms of the agreement. This agreement shall supersede all other communications between Dokmart and its users with respect to the subject matter hereof and supersedes and replaces all prior agreement or understandings, written or oral, regarding such subject matter. If at any time you find these Terms and Conditions unacceptable or if you do not agree to these Terms and Conditions, please do not use this website.

Change in provisions

4. We reserve the right to change this User Agreement from time to time without notice. You acknowledge and agree that it is your responsibility to review this User Agreement periodically to familiarize yourself with any updations. Your continued use of this site after such updations will constitute acknowledgment and agreement of the modified terms and conditions.

Registration, Access and Usage

5. In order to access the Resources on this Platform, you may be required to register yourself. If registration is requested, you agree to provide Dokmart with accurate and complete registration information and to keep it accurate, correct and up to date till you are registered on this Platform. Each registration is for use by a single person only, unless specifically designated otherwise on the registration page. You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Resources. Accordingly, you are responsible for all activities that occur under your account.
6. Dokmart does not permit any other person using the registered sections under your name or access through a single name being made available to multiple users on a network. You are responsible for preventing such unauthorized use. If you believe there has been unauthorized use, please notify Dokmart immediately by contacting us. If we find that unauthorized use is being made of Dokmart and the services we provide, the right of any or many such users may be terminated.
7. Accessing (or attempting to access) any of our Resources by any means other than through the means we provide or approve is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Resources through any automated, unethical or unconventional means. Engaging in any activity that disrupts or interferes with our Resources, including the servers and/or networks to which our Resources are located or connected, is strictly prohibited. Attempting to copy, duplicate, reproduce, sell, trade, or resell our resources is strictly prohibited.
8. You are solely responsible for any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you on or in connection with this Portal or any resources therein, as explained above, and may incur criminal or civil liability.
9. This portal may provide various open communication tools to its User/Partners, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that generally we do not pre-screen or monitor the content posted by users of these various communication tools or contents therein, which means that if you choose to use these tools to or submit any type of content to our website, then it is your personal responsibility to use these tools in a responsible and ethical manner. We have the right at our sole discretion to remove any content that, we feel in our judgment does not comply with this User Agreement, along with any content that we feel is otherwise offensive, harmful, objectionable, inaccurate, or violates any 3rd party copyrights or trademarks. We are not responsible for any delay or failure in removing such content. If you post content that we choose to remove, you hereby consent to such removal, and consent to waive any claim against us.

Disclaimer on Content

11. The content of this website has been prepared on the basis of the applicable Indian Laws on the subject matter listed herein. The results & interpretation have been done on the basis of our understanding of the Act & Rules, where applicable. We explicitly disclaim any financial or other liability of any kind arising on account of any action taken pursuant to the results or interpretation of this website.

Dokmart takes no position and offers no opinion with respect to information, documents or format or content therein placed on this portal. The information are placed for the convenient and reference of users with a motive to save their time and effort and may need customisation as per need of a user. Dokmart does not take responsibility for the correctness/updation of content uploaded by Dokmart or any of its partner and it will not amount to any legal opinion or expert view, expressed or implied, of either Dokmart or its Partner at any time.

Dokmart is not responsible for and assumes no liability for any mistakes, misstatements of law, defamation, slander, libel, omissions, falsehood, obscenity or profanity in the statements, opinions, representations or any other form of information contained in any third party content appearing on Dokmart. Although every precaution is made that this platform does not contain any document attracting Copyright infringement, yet in case any document contributed by any of our Business Partner found violating copyright issues, the sole legal liability shall be of Business Partner and Dokmart shall not be responsible for any claim in respect thereof. The Business Partner who contribute their document for placing on this site agree and accept this condition. This is without prejudice to right of Dokmart to remove such content from the website, Bar, Blacklist or remove and claim damages from Business Partner/Contributor.
15. Dokmart does not represent or warrant that the service will be error-free, free of viruses or other harmful components, or that defects will be corrected. Dokmart may make improvements and/or changes to its features, functionality or service at any time. With respect to information available from this web page, neither Dokmart nor any of its founders, directors, shareholders, employees, business partners make any warranty, express/implied or assume any liability or responsibility for the accuracy, completeness, or usefulness of such information and User is expected to use his judgement and skill to ascertain the same.

Dokmart Proprietary Rights

16. By uploading content to or submitting any materials for use on Dokmart, you grant (or warrant that the owner of such rights has expressly granted) Dokmart a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from and distribute such materials or incorporate such materials into any form, medium, or technology now known or later developed. Dokmart however gives an assurance that any information of a sensitive nature will not be intentionally disclosed and revealed to any third party.
17. The user agrees that the content and Web Site are protected by copyright, trademark, service marks, patents or other proprietary rights and laws. The user acknowledges and agrees that the user is permitted to use this material and information only as expressly authorized by Dokmart, and must not copy, reproduce, transmit, distribute, or create derivative works of such content or information without express authorization.

Client Information- Kept Confidential

18. This only refers and applies to content posted via open communication tools as described, and does not refer to information that is provided as part of the registration process, necessary in order to use our Resources. All information provided as part of our registration process is covered by our Privacy Policy. Dokmart hides information about clients from partners until the client communicates with the Partners directly or online. Therefore, the Partner is not allowed to view private information about potential clients.

Indemnification

19. You agree to indemnify and hold harmless Dokmart.com and its affiliates, associate companies and their promoters, shareholders, directors, officers, managers, employees, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, arising out of from any violation of this User Agreement or the failure to fulfill any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defence of any claim for which we are entitled to indemnification under this User Agreement. In such event, you shall provide us with such cooperation as is reasonably requested by us. You agree to defend, indemnify and hold harmless Dokmart, our officers, directors, shareholders, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the site and the materials.

Dokmart is not responsible for the availability or content of these external sites, nor does Dokmart endorse, warrant, or guarantee the products, services, or information described or offered at these other Internet sites. Similarly When visiting our Web site, your Web browser may produce pop-up advertisements. Dokmart does not endorse or recommend products or services for which you may view a pop-up advertisement on your computer screen while visiting our site.

Resale- Prohibited

21. Dokmart grants you a limited, personal, non-exclusive, non-transferable license to use our “Free information” feature for your own personal use, or if you are an practising professional, for providing customized service to your client. Except as otherwise provided, you acknowledge and agree that you have no right to modify, edit, copy, reproduce, create derivative works of, alter, enhance or in any way exploit any of the Forms in any manner, except for modifications in filling out the Forms for your authorized use.
22. By ordering a document from Dokmart, you agree that the document you purchase may only be used by you for your personal or business use or used by you in connection with your client and may not be sold or redistributed without the express written consent of Dokmart. Reselling or distributing without permission amounts to a violation of Dokmart’s exclusive copyright and is liable to prosecution and legal liability.
23. Dokmart may contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on Dokmart is accurate and complies with applicable laws. Dokmart will not be responsible for the illegality of or any error or inaccuracy in advertisers' or sponsors' materials.

Unlawful Activity

24. Dokmart reserves the right to investigate complaints or reported violations of the Agreement and to take any action Dokmart deems appropriate including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to user profiles, e-mail addresses, usage history, posted materials, IP addresses and traffic information.

Remedies for Violations

25. Dokmart reserves the right to seek all remedies available at law and in equity for violations of the user Agreement, including but not limited to the right to block access from a particular Internet address to Dokmart and its features.

Severability of Provisions

26. The Agreement and the Privacy Policy constitute the entire agreement with respect to the use of the service provided by Dokmart. If any provision of these terms and conditions is unlawful, void or unenforceable then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.

Modifications to Service

27. Dokmart reserves the right to modify or discontinue, temporarily or permanently, the service with or without notice to the user. The user agrees that Dokmart shall not be liable to the user or any third party for any modification or discontinuance of the service. The user acknowledges and agrees that any termination of service under any provision of this agreement may be effected without prior notice, and acknowledges and agrees that Dokmart may immediately delete data and files in the user's account and bar any further access to such files or the Service.

Arbitration

28. Any controversy or claim arising out of or relating to this Agreement or Dokmart services shall be settled by binding Arbitration in accordance with laws of India. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. Any other dispute or disagreement of a legal nature will also be decided in accordance with the laws of India, and the Courts of Delhi shall have jurisdiction in all such cases.

Ownership

29. This Site is owned and operated by Dokmart. All right, title and interest in and to the materials provided on this Site, including but not limited to information, documents, logos, graphics, sounds and images (the "Materials") are owned by Dokmart. Except as otherwise expressly provided by Dokmart, none of the materials may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted or distributed in any way and nothing on this Site shall be construed to confer any license under any of Dokmart's intellectual property rights, whether by estoppel, implication or otherwise. Contact us if you have any questions about obtaining such licenses. Dokmart does not sell, license, lease or otherwise provide any of the materials other than those specifically identified as being provided by Dokmart. Any rights not expressly granted herein are reserved by Dokmart.

Cancellation and Refund Policy

30. We strive to ensure that the services you avail through our website are to your full satisfaction, and are the best in the Industry at extremely reasonable and affordable rates.
31. However, there may arise situations when you desire a refund. Firstly, when you pay for the document, services etc. but later on decide that you do not wish to avail them. Secondly, when there is a delay in the services offered from our side, beyond the time frame we have intimated to you, due to human error i.e., factors for which we are solely responsible. Thirdly, although we highly doubt it, you might find our services unsatisfactory. In all three situations, kindly send in an e-mail to support@dokmart.com. We would like to clarify that only partial refunds of the professional fees component of the charges paid by you shall be considered for a refund.
32. Upon receiving your mail, the Management at Dokmart shall decide on whether your request for a refund should be processed, contingent on the reasons for such a request. Please note that we reserve the right to take the final and binding decision with regard to requests for refund.
33. Most importantly, we wish to clarify that in cases beyond our control, including but not limited to holidays, delays on the part of the Government of India, the respective State Governments, Our affiliates or elsewhere, acts of war, acts of God, earthquake, riot, sabotage, labour shortage or dispute, internet interruption, power disruption, lack of phone network connectivity, technical failures, breakage of sea cable, hacking, piracy, we shall not liable for any delays.
34. If we confirm your request for refund, subject to the terms and conditions mentioned herein or elsewhere, we will send you an e-mail seeking the details required to refund the amount which may include your Bank Account details such as the account number and the IFS code of the branch in question. Kindly note that it will take us a minimum of 15 working days from the receipt of all such information to process the refund and initiate the transfer.
35. We reiterate once again that only the full/partial professional fees paid for our services shall be refunded, subject to the discretion of the Senior Management at Dokmart.com.

37. If you have any queries about Dokmart, please do not hesitate to contact us. In this agreement, we have referred to the Dokmart service as the "service", to you as the "user" and this user agreement as the "agreement".
38. If you wish to use our portal/services, you affirm that you are more than 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties consequent to the viewing/ downloading/ creation/ of the documents or services and are aware of the same.
